Description & Requirements

Objective:

In charge of the Commercial, including Marketing, and Finance Contracts, and others.

In charge of corporate routines, updates, and compliance with regulations (Local Legal entities are SA and Ltda.), and, also for the KHC Global policies applicable to the local legal entities) and keep the corporate documents updated and request to the Global Legal Team.

In charge of the Legal support related to Corporate matters and projects (including corporate operations, and investments), such as incorporation and closing of new legal entities, Tax matters/opportunities, partnerships, investments/divestments, and M&As as required (as part of the Team, internal flows, document reviews, and internal advising on KHC operation procedures related).

In charge of the Advisory of internal areas of the company, such as Finance, Marketing, Growth, Procurement, and others, except labor and litigation.

Key Activities/ Main Deliverables:

a) Analyze, prepare, and negotiation of Contracts (Commercial, Marketing, Finance, NDA´s and others);

b) Act in all corporate issues related to companies of the Kraft Heinz Group in Brazil (routine, governance, and partnerships, incorporation/routines/closing of legal entities, M&A/Projects Finance), including corporate consultancy matters, and support to the Global Team in matters related to Brazilian companies.

c) Supervise law firms hired for Contracts and Corporate matters.

d) Preparation and management of powers of attorney and related updates.

e) Training on Contracts WoW, KHC policies, and approvals to the internal areas supported.

f) Management of the contract information, dashboards, and updates related.

g) Marketing projects such as partnerships

h) Company growth projects, such as incorporation/closing of legal entities and other growth/investment/divestment projects according to the Company strategy

Competencies / Skills

  • Bachelor’s degree in law with OAB
  • LLM or Post-Graduation in Corporate Law / Contracts, or Business Law.
